• Scrape, crawl, or systematically extract data from the platform without our written permission.
• Reproduce, redistribute, or resell any data, content, or reports from IPOup.
• Use the Service to engage in market manipulation, spreading false information, or any other activity that violates SEBI regulations or applicable law.
• Attempt to gain unauthorised access to any part of the Service, its servers, or associated systems.
• Introduce viruses, malware, or other malicious code.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

All content on IPOup — including text, graphics, logos, data compilations, software, and design — is owned by or licensed to us and is protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal, non-commercial use. You may not copy, modify, distribute, sell, or create derivative works from any content without our express written consent.

Public data sourced from SEBI, NSE, BSE, and other government bodies remains subject to their respective terms of use.

IPOup aggregates and displays financial data including GMP (Grey Market Premium), subscription figures, allotment status, and analyst commentary. You acknowledge that:

• GMP figures are indicative estimates derived from informal grey-market activity and are not official exchange prices.
• Subscription and allotment data is sourced from exchanges and registrars and may be subject to delays or inaccuracies.
• Analyst reviews and commentary represent the personal opinions of individual analysts and are not investment advice.
• Past performance of IPO listings is not indicative of future results.

We do not guarantee the accuracy, completeness, timeliness, or fitness for any purpose of any information on the platform.

The Service may contain links to third-party websites (e.g., SEBI portals, stock exchange websites, registrar platforms). These links are provided for convenience only. We do not endorse, control, or assume responsibility for any third-party content, products, or services. To the fullest extent permitted by applicable law:

• IPOup and its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
• Our total liability for any claim arising from the Service shall not exceed the amount you paid to us (if any) in the 12 months preceding the claim.

These Terms are governed by the laws of India, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India.

Before initiating any legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of 30 days.

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, notify you via email or a notice on the platform. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

We may terminate or suspend your access to the Service at our sole discretion, without notice, if we reasonably believe you have violated these Terms or applicable law. You may also delete your account at any time. Upon termination, your licence to use the Service ceases immediately.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and IPOup regarding the Service and supersede all prior agreements or understandings relating to the same subject matter.
